1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Venith Emmerce LLC, doing business as SolidlyLeads ("Company," "we," "us," or "our"), concerning your access to and use of the SolidlyLeads website (the "Site") as well as the lead generation and performance marketing services provided by the Company. By purchasing our leads, you agree to be bound by all of these Terms of Service.

2. Service Description

SolidlyLeads provides advertising management and lead generation services. We generate traffic through digital channels (Search, Social, Native) and deliver contact information of individuals ("Leads") who have expressed interest in your services. We are not a publisher; we are a direct media buyer.

3. Lead Delivery and Usage

Upon purchase, you are granted a non-transferable license to contact the Leads delivered to you. You agree that:

• You will contact leads in compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
• You will not resell, distribute, or share the lead data with third parties.
• You acknowledge that while we verify contact information, we cannot guarantee conversion or sales results.

4. Fees and Payment

We operate on a "Pay Per Lead" or "Lead Package" basis. You agree to pay all fees associated with the packages you select. There are no monthly retainers. Payments are processed securely via Stripe. In the event of a chargeback dispute, we reserve the right to terminate your account and provide evidence of lead delivery to the financial institution.

5. Disclaimer

THE SITE AND SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND SERVICES AND YOUR USE THEREOF.

6. Limitation of Liability

IN NO EVENT WILL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR LIABILITY WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE ONE (1) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

7. Governing Law

These Terms of Service and your use of the Site and Services are governed by and construed in accordance with the laws of the State of Wyoming applicable to agreements made and to be entirely performed within the State of Wyoming, without regard to its conflict of law principles.
